Independent Distributor Terms & Conditions
1. Introduction
These Terms and Conditions govern the relationship between the Company and every Independent Distributor (“Distributor”). By submitting an application and accepting distributorship, the Distributor agrees to comply with these Terms and Conditions, the Company’s Marketing Plan, Code of Ethics, Policies and Procedures, and any amendments issued by the Company from time to time.
2. Independent Contractor Status
2.1 The Distributor is an independent contractor and is not an employee, partner, franchisee, agent, or representative of the Company.
2.2 The Distributor shall be solely responsible for all personal taxes, statutory obligations, insurance, and business expenses.
2.3 Nothing contained herein shall create an employer-employee relationship.
3. Eligibility
Applicants must:
- Be at least 18 years of age.
- Possess a valid NRIC or Passport.
- Submit accurate registration information.
- Agree to abide by the Company’s Policies and Procedures.
The Company reserves the right to approve or reject any application without assigning any reason.
4. Distributor Rights
An approved Distributor is entitled to:
- Purchase Company products at Distributor prices.
- Retail Company products.
- Sponsor new Distributors.
- Participate in the Company’s Marketing Plan.
- Receive commissions and bonuses subject to qualification requirements.
- Attend Company meetings, seminars, training programmes and incentive events.
These rights remain subject to compliance with Company policies.
5. No Guaranteed Income
The Company does not guarantee any income, profit or success.
Distributor earnings depend on factors including but not limited to:
- Personal effort
- Sales performance
- Team development
- Customer retention
- Compliance with Company policies
Any income examples are illustrations only and shall not be interpreted as guaranteed earnings.
6. Retail Sales
Distributors are encouraged to promote products through genuine retail sales.
Products shall not be purchased solely for the purpose of qualifying for bonuses.
The Company prohibits inventory loading or stockpiling.
7. Product Claims
Distributors shall not:
- Make false, misleading or exaggerated claims.
- Claim products cure, prevent or diagnose diseases unless officially approved by Malaysian authorities.
- Alter Company literature.
- Publish unauthorized medical claims.
Only official Company marketing materials may be used.
8. Business Conduct
Distributors shall:
- Conduct business honestly.
- Treat customers respectfully.
- Avoid misleading presentations.
- Maintain professional behaviour.
- Protect the Company’s reputation.
The Company reserves the right to investigate complaints.
9. Advertising
Without written approval, Distributors shall not:
- Produce unauthorized brochures.
- Use Company trademarks.
- Register websites using Company names.
- Run paid advertisements using Company trademarks.
- Misrepresent themselves as official Company representatives.
Social media promotion must follow Company guidelines.
10. Online Selling
Unless expressly authorised:
Products shall not be sold through:
- Shopee
- Lazada
- TikTok Shop
- Facebook Marketplace
- Amazon
- eBay
- Other third-party marketplaces
The Company may remove unauthorised listings.
11. Sponsorship
Each Distributor has the right to sponsor new members.
Cross-line recruiting is strictly prohibited.
A Distributor may not induce another Distributor to transfer organisations.
12. Cross Sponsoring
Cross sponsoring includes:
- Encouraging another Distributor to change sponsors.
- Registering under another sponsor while an existing membership remains active.
- Creating multiple accounts.
Violations may result in:
- Suspension
- Bonus forfeiture
- Termination
13. Multiple Accounts
Each individual is permitted only one Distributor account unless specifically authorised by the Company.
The Company may merge or terminate duplicate accounts.
14. Spouse Accounts
Spouses may operate:
- A joint distributorship; or
- Separate distributorships only with prior written approval.
15. Commission Qualification
Bonuses and commissions are payable only when:
- Qualification requirements are met.
- Required maintenance is achieved.
- Compliance standards are maintained.
- No disciplinary investigation is pending.
The Company reserves the right to verify sales before payment.
16. Bonus Adjustment
The Company may:
- Adjust commissions resulting from calculation errors.
- Recover overpayments.
- Offset future commissions.
17. Tax Responsibilities
Each Distributor is responsible for:
- Personal income tax.
- SST obligations (where applicable).
- Business registration requirements.
- Compliance with Malaysian tax laws.
18. Confidential Information
Distributor lists, genealogy reports, compensation information, customer lists and internal documents are confidential.
Such information shall not be:
- Copied
- Shared
- Sold
- Used outside Company business
Confidentiality obligations continue after termination.
19. Intellectual Property
The Company retains ownership of:
- Trademarks
- Logos
- Product names
- Marketing materials
- Videos
- Images
- Training materials
No reproduction is permitted without written approval.
20. Personal Data
The Distributor consents to the Company collecting, processing and storing personal information for purposes including:
- Distributor management
- Commission processing
- Product delivery
- Compliance
- Marketing communications
The Company will process personal data in accordance with applicable Malaysian data protection laws.
21. Product Returns
Product returns shall comply with the Company’s Product Return Policy.
Returned products must satisfy the Company’s conditions regarding:
- Product quality
- Packaging
- Purchase period
- Proof of purchase
Refunds may affect commissions previously paid.
22. Cooling-Off Period
Where applicable under Malaysian law, eligible purchasers may cancel purchases within the prescribed cooling-off period subject to statutory requirements.
23. Transfer of Distributorship
A distributorship may not be sold, assigned or transferred without prior written approval from the Company.
24. Death or Incapacity
Upon death or permanent incapacity, distributorship rights may be transferred to the lawful beneficiary or legal representative subject to Company approval and supporting legal documents.
25. Suspension
The Company may suspend a Distributor for:
- Policy violations
- Fraud
- Misrepresentation
- Unethical conduct
- False product claims
- Bonus manipulation
Suspension may include temporary withholding of commissions.
26. Termination
The Company may terminate a distributorship immediately for:
- Serious misconduct
- Fraud
- Criminal activity affecting the Company’s reputation
- Pyramid scheme activities
- Repeated policy violations
Upon termination:
- Distributor rights cease immediately.
- Downline ownership remains subject to Company policy.
- Outstanding commissions may be forfeited where permitted by law.
27. Voluntary Resignation
A Distributor may resign at any time by submitting written notice.
Reapplication shall be subject to Company policies and waiting periods.
28. Amendments
The Company reserves the right to amend:
- Policies
- Marketing Plan
- Product pricing
- Incentives
- Bonuses
- Terms and Conditions
Updated policies become effective upon publication or notification.
29. Limitation of Liability
The Company shall not be liable for:
- Indirect losses
- Consequential damages
- Loss of income
- Business interruption
- Personal business expenses
except where liability cannot be excluded under applicable law.
30. Force Majeure
The Company shall not be liable for delays caused by events beyond its reasonable control, including natural disasters, pandemics, government actions, war, labour disputes, transportation interruptions or system failures.
31. Governing Law
These Terms and Conditions shall be governed by the laws of Malaysia.
Any dispute shall first be resolved through good-faith negotiation.
If unresolved, disputes shall be submitted to the courts of Malaysia, unless otherwise agreed by the parties.
32. Acceptance
By submitting the Distributor Application Form, purchasing a Distributor Starter Package or accepting Distributor status, the Distributor acknowledges that:
- They have read these Terms and Conditions.
- They understand the Company’s Marketing Plan.
- They agree to comply with all Company Policies and Procedures.
- They understand that violation of Company policies may result in suspension or termination.
These Terms and Conditions shall take effect immediately upon approval of the Distributor application.
